1. Acceptance of these terms

By accessing this website, using its tools, requesting a quotation or purchasing services from Agent WebFlow (“Agent WebFlow”, “we”, “us” or “our”), you agree to these Terms & Conditions. If you do not agree, please do not use the website or services.

2. Website and professional services

We provide website design, WordPress and PHP development, single-page applications, admin panels, MERN applications, enterprise software, cloud infrastructure, AI integrations, maintenance and related consulting. Website descriptions are general information; the signed proposal, statement of work or invoice defines the specific deliverables for each project.

3. Base pricing and final quotations

• Discounts apply only where expressly stated and may be changed or withdrawn before a written quotation is accepted.
• A final quotation is issued after requirement discovery and remains valid only for the period stated in that quotation.
• Out-of-scope work and change requests require written approval and may affect price and delivery.
• Taxes, paid software, domains, hosting, cloud usage and third-party charges are excluded unless expressly included.

4. Client responsibilities

You must provide accurate requirements, lawful content, timely feedback, required access and approvals. You confirm that you own or are authorised to use all text, images, trademarks, data and other material supplied to us. Delays in feedback, content, access or approvals may change the delivery schedule.

5. Payments, cancellation and refunds

Payment milestones, due dates, cancellation rights and any refund terms are defined in the applicable proposal or invoice. Unless stated otherwise in writing, work may pause when an amount is overdue. Completed milestones, approved work, committed third-party expenses and non-recoverable costs are not refundable. Bank, payment-gateway, tax and currency-conversion charges may apply.

6. Delivery, testing and change requests

Delivery estimates begin after scope approval, initial payment and receipt of required materials. Estimates are not guarantees where dependencies, change requests, third-party services, force majeure events or client delays affect delivery. You are responsible for reviewing milestone submissions and reporting reproducible issues within the review period stated in the proposal.

7. Intellectual property and source code

Subject to full payment, ownership or licence rights in custom deliverables are transferred as described in the project proposal. Agent WebFlow retains ownership of pre-existing know-how, reusable components, internal tools, templates and general development methods. Open-source software, fonts, APIs, stock assets and third-party components remain governed by their respective licences.

8. Third-party platforms and services

Projects and website tools may use hosting providers, cloud services, WhatsApp, Google services, QR-generation services, payment services, open-source libraries or other third parties. Their availability, pricing, policies and performance are controlled by those providers. You are responsible for maintaining required third-party accounts and complying with their terms.

9. QR generator, AI features and acceptable use

• Verify every generated QR code, URL, poster and AI-assisted output before printing, publishing or relying on it.
• Do not encode passwords, financial information, health information or other sensitive personal data in a QR code.
• Do not use our services for unlawful, deceptive, infringing, abusive, malicious or security-compromising activity.
• AI-generated content may contain errors and requires human review. You remain responsible for its lawful and appropriate use.

10. Confidentiality and data

Each party should protect confidential information received for a project and use it only for the agreed purpose. Personal data is handled as described in our Privacy Policy and any project-specific data-processing terms.

11. Warranties and availability

We will perform professional services with reasonable skill and care. Except where expressly stated in writing, the website, preview tools and informational content are provided on an “as available” basis. We do not guarantee uninterrupted access, specific commercial results, search rankings, revenue, review volume or compatibility with every future third-party change.

12. Limitation of liability

To the maximum extent permitted by applicable law, Agent WebFlow will not be liable for indirect, incidental, special or consequential loss, including lost profits, lost data, lost opportunity or business interruption. Any aggregate liability relating to a paid project will not exceed the amount paid to Agent WebFlow for the specific service giving rise to the claim, except where liability cannot lawfully be limited.

13. Suspension and termination

We may suspend website or service access for unlawful use, security risk, non-payment or material breach. Either party may terminate a project according to its written proposal. Terms that by nature should survive— including payment, confidentiality, intellectual property and liability provisions—continue after termination.

14. Governing law and disputes

These terms are governed by the laws of India. The parties should first attempt to resolve disputes through good-faith written discussion. If unresolved, disputes will be subject to the competent courts having jurisdiction over Agent WebFlow’s principal place of business, unless the applicable proposal states another lawful dispute process.

2. Information we may collect

• Contact and enquiry data: name, email, phone number, business information, project requirements and communications you voluntarily provide.
• Project data: content, account details, technical access, files, user requirements and other material necessary to quote or deliver services.
• Website and device data: IP address, browser/device information, timestamps, requested pages, referring pages, security events and server/CDN logs.
• Transaction data: quotation, invoice, payment status and tax-related records. Payment credentials may be processed directly by the chosen payment provider.
• Tool inputs: business name, website, QR destination URL, selected settings and an optional logo when you use the QR generator.

3. How we use information

We use information to respond to enquiries, prepare quotations, deliver and support projects, generate requested QR codes, secure and operate the website, prevent misuse, maintain business and tax records, improve services, communicate important updates and comply with legal obligations. We do not sell or rent personal data.

4. QR generator and uploaded logos

• The QR destination you enter is sent to the third-party QR-generation service used to produce the scannable image.
• In the current browser tool, an uploaded logo is read locally in your browser for the preview and is not intentionally uploaded to Agent WebFlow’s server.
• The generated poster is created in your browser. Downloaded files are stored wherever you choose on your device.

5. Local storage, logs and similar technology

The website uses browser local storage to remember your light/dark theme preference. Hosting and security providers may automatically create standard server, CDN and security logs. If analytics, advertising cookies or additional tracking technologies are introduced, this policy and any required consent controls should be updated.

6. When information may be shared

Information may be shared only as reasonably necessary with hosting/CDN providers, cloud and development vendors, QR-generation services, communication platforms such as WhatsApp, payment/accounting providers, professional advisers, authorised project collaborators, or authorities where required by law. Providers may process information under their own terms and privacy policies.

7. Lawful processing and consent

Depending on the context and applicable law, processing is based on your consent, steps requested before entering a contract, performance of a contract, compliance with legal obligations, or legitimate uses permitted by law. You may withdraw consent for future consent-based processing by contacting us, without affecting processing already lawfully completed.

8. Data retention

We retain information only for as long as reasonably necessary for the purpose collected, project delivery, support, security, dispute resolution and legal, accounting or tax obligations. Retention periods vary by record type and contractual requirements. Data that is no longer required is deleted, anonymised or securely archived where practical.

9. Security

We use reasonable administrative, technical and organisational safeguards appropriate to the nature of the information, which may include access controls, HTTPS, credential protection, backups and service-provider security features. No internet transmission or storage system is completely secure, so absolute security cannot be guaranteed.

10. International and third-party processing

Some technology providers may process information in other countries. Where applicable, we take reasonable steps to use reputable providers and safeguards appropriate to the service. Third-party websites and services linked from this site are governed by their own privacy practices.

Our business services are not directed to children. We do not knowingly request personal data from children for independent use of the service. A parent or guardian who believes a child has provided data should contact us so the request can be reviewed.

We aim to handle digital personal data consistently with applicable Indian law, including relevant provisions of the Digital Personal Data Protection Act, 2023 as they become applicable, and other binding legal requirements. This policy does not limit any rights that cannot legally be limited.
